Baggeridge Acquisition by Wienerberger Referred to UK Competition Comission

The Boards of Wienerberger AG and Baggeridge Brick PLC have noted the announcement by the Office of Fair Trading (OFT) that it intends to refer the proposed acquisition of Baggeridge by Wienerberger to the UK Competition Commission.

The proposed acquisition, which is subject to a pre-condition set out in the announcement of 17 August 2006, relating to, among other things, clearance from the Competition Commission, will proceed if the pre-condition is satisfied or waived. As set out in that announcement , Wienerberger and Baggeridge are committed to working together during the investigation by the Competition Commission with a view to securing clearance and then proceeding with the acquisition.

The Competition Commission must prepare and publish its report within 24 weeks of the reference decision unless there are special reasons why it cannot do so.
